Court of Bologna, 12 February 2026, No. 1821

Tribunale of Bologna

Legal principle

A statutory arbitration clause which refers to arbitration disputes connected with the application of the deed of incorporation and the articles of association must be construed restrictively, in the sense that it encompasses exclusively disputes concerning the interpretation or application of the statutory provisions, whereas disputes founded on breaches of rules of law or on managerial conduct not directly referable to the interpretation of specific statutory clauses fall outside its scope.
