The clause of referee irreplace consists in a normal clause negotiating, with the which the parts not they intended derogating to jurisdiction, but they have conferred a mandate negotiation ad a a third in charge of compose one quarrel, replacing to the will of the contractors, by composition friendly, conciliatory or transactive, or by shop legal of mere assessment.
