Court of Venezia, decree of 11 September 2026 (R.G. 00003331/2026)
Tribunale of Venezia
Legal principle
An arbitration clause in the articles of association referring to arbitrators disputes between members, or between members and the company, concerning rights capable of being disposed of and relating to the company relationship remains operative in respect of a challenge to a resolution of the general meeting which does not allege the breach of mandatory rules laid down for the protection of the collective interest of the members or of third parties.
An application for the appointment of the arbitral tribunal under art. 810 cod. proc. civ. may be granted without the need to establish adversarial proceedings, the president appointing the members in the number provided for by the articles of association and the designation of the chairman of the tribunal remaining, where so provided, with the arbitrators themselves.
