The heirs of a deceased member who have not themselves become members of the company may not rely on the statutory arbitration clause, which binds only those persons who hold the status of member, given that such heirs, being extraneous to the corporate relationship, assume the position of creditors for the sum corresponding to the value of the deceased's share.
