An arbitration clause contained in the articles of association may be derogated by a settlement agreement entered into between all the shareholders and the company, whereby the parties expressly agree to submit to the ordinary jurisdiction disputes relating to the interpretation, performance, validity or termination of the settlement itself, thereby rendering unfounded the objection of arbitration raised in relation to obligations arising from such agreement.
