Legal Principle

The right of information and control of a non-managing member of a limited liability company, governed by Article 2476, paragraph 2 of the Civil Code, may be lawfully exercised even when aimed at gathering evidence for defence in arbitration proceedings, there being no abuse of rights in the absence of specific intent to harm the company without any benefit to the rights holder.
