An arbitration clause referring to arbitrators disputes arising out of or dependent upon the consortium agreement does not extend to claims which do not derive their title from the consortium agreement as regulated in the constitution, its scope having to be determined by reading the clause together with the provisions identifying the purposes of the entity.
The absence of any intra-corporate basis for the claim, which excludes the operation of the arbitration clause, also entails the lack of merit of the plea of want of subject-matter competence in favour of the specialised business division.
