An arbitration clause contained in the articles of a limited liability company does not apply to dissolution and winding-up proceedings brought pursuant to Article 2484(1)(3) of the Civil Code on the ground that the general meeting is unable to function, as such proceedings constitute an exercise of the court’s substitutive function in non-contentious proceedings, which is a matter distinct from any disputes relating to the liquidation phase.
