Where a subsequent contractual agreement wholly replaces an earlier one without reproducing the arbitration clause contained therein, the arbitration clause must be regarded as having lapsed and the dispute remains subject to the jurisdiction of the ordinary courts.
An arbitration clause does not automatically extend to third parties in relation to the contract containing it, nor to relationships arising from subsequent assignments of the credit, in the absence of an express agreement to that effect.
