Legal Principle
An arbitration clause contained in the articles of association of a partnership, which submits to arbitrators disputes between partners relating to the interpretation and application of the articles of association, does not extend to disputes concerning the transfer of partnership interests where the transferor no longer holds the status of partner at the time the dispute arises and the dispute does not relate to the interpretation of the articles of association nor to the application thereof, concerning aspects – such as the determination of the consideration for the transfer – which do not affect the corporate structure and do not relate to partnership relations in the strict sense.
