Legal Principle
An arbitration clause which devolves to arbitrators disputes connected with the corporate contract must be deemed extended also to the dispute concerning the withdrawal of a shareholder from the company and his right to liquidation of the value of his shareholding, a principle which holds both when it is a matter of ascertaining the legitimacy of a withdrawal and when it has already become effective and which has been affirmed also in the matter of exclusion of a shareholder.
An arbitration clause extends to disputes having their title in contracts connected to the corporate relationship when there subsists a contractual connection in which the cause of the exchange of accessory contracts is added to that of the mutual nature of the corporate contract, the cause and title always falling within corporate relationships.
