Legal Principle

An arbitration clause contained in the articles of association, referring to arbitration disputes between shareholders or between shareholders and the company, does not apply to disputes arising from contractual relationships extraneous to the corporate relationship between the company and a person who also holds the status of shareholder, given that arbitral jurisdiction is delimited by the subject matter of the dispute and not by the subjective capacity of the parties.
